LOGISTICS SERVICES AGREEMENT

(ScaleMint / ProDispatch)

This Logistics Services Agreement (“Agreement”) is entered into between:

Customer: You / User / Company / Individual / Firm / Partnership / Body Corporate

AND

Service Provider: ScaleMint Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at Marchi, Patna, Bihar, operating its logistics aggregation platform under the brand ProDispatch.

Acceptance of Terms

By registering on, accessing, or using the ScaleMint / ProDispatch platform, dashboard, APIs, or services, the Customer agrees to be legally bound by this Agreement, including all policies, rate cards, SOPs, SLAs, and service terms displayed from time to time.

If the Customer does not agree to any part of this Agreement, they must immediately discontinue use of the Services.

Definitions

  • COD: Cash on Delivery amount collected from the end customer.
  • Consignment / Shipment: Goods handed over for delivery.
  • Platform: ScaleMint / ProDispatch website, dashboard, APIs, and software.
  • Courier Partner: Third-party logistics providers.
  • Invoice Value: Value declared by the Customer.

Scope of Services

  • Shipment booking
  • Courier allocation
  • Tracking & analytics
  • COD facilitation
  • Claims & dispute management

The Service Provider acts only as a logistics aggregator and is not a carrier. Actual pickup and delivery are performed by courier partners.

Fees & Billing

  • Forward & RTO freight
  • Reverse pickup charges
  • COD fees
  • Weight adjustments
  • Platform & service fees
  • Applicable taxes

Customer Obligations

The Customer shall not ship prohibited, illegal, hazardous, counterfeit, or restricted goods and is solely responsible for compliance with applicable laws.

Penalty for prohibited or mis-declared goods: ₹50,000 per incident, along with suspension and legal action if applicable.

COD & Payment Withholding

The Service Provider may withhold COD or payments in case of disputes, non-payment, fraud, or legal non-compliance.

Lost / Damaged Shipment Policy

Compensation shall be limited to 50% of Invoice Value or ₹2,000, whichever is lower, subject to investigation and documentation.

Insurance

Shipments are not insured by the Service Provider. Customers may insure shipments independently.

Limitation of Liability

Liability is strictly limited to the terms of this Agreement. No indirect or consequential damages shall be covered.

Governing Law & Jurisdiction

This Agreement shall be governed by Indian laws. Courts at Patna, Bihar shall have exclusive jurisdiction.

Electronic Acceptance

By clicking “I Agree” or using the Services, the Customer confirms legally binding acceptance.
